1. These Conditions apply to all contracts for the Sale of Goods entered into by Lister Locks Limited (hereinafter termed ‘Listers’) whereby any order placed with Listers will be accepted on these Conditions, and on no other.

2. Carriage Paid Terms. Orders sent to addresses within the normal delivery area will be dispatched - carriage paid - by our own transport or designated carrier, subject to the minimum order value.

Consignments dispatched by any other means will be subject to carriage/post and packing charges, and no liability will be accepted by Listers in cases of non delivery, loss or damage in transit. Listers does not provide, nor offer to provide, loss in transit insurance cover. This must be arranged by the Buyer if required.

3. Handling charge. Listers reserves the right to make an additional charge when processing/delivering orders of nominal value.

4. Goods are supplied on the condition that where applicable Manufacturers or Agents Conditions of Sale shall be observed.

5. Prices are those ruling at date of dispatch. Prices are for guidance purposes only.

6. All quotations given are irrespective of goods availability at the receipt of order. Dates quoted for delivery are offered in good faith, but Listers will not be responsible for any loss suffered by the Buyer, owing to Listers inability to meet such dates.

7. Listers will not be liable for any arrangements proposed by representatives or staff relating to supply, delivery, returns or payment, unless details are confirmed in writing within fourteen days and signed by a Director of Listers.

8. Orders for goods not listed in the current issue of our catalogue or price and stock list are considered special orders, and must be confirmed in writing. Cancellation of these cannot be accepted and the Buyer will be liable for any charges incurred in this respect.

9. Claims for damage, shortage or non-delivery will not be entertained unless Listers is advised in writing within three days of the date of delivery.

10. Faulty goods. Liability of Listers in the event of goods supplied being defective will be limited to the nett invoice value charge of the items supplied. Listers reserves the right to refuse credit on products that are not under guarantee. Listers reserves the right to refuse credit for items damaged by the Buyer.

11. When supplying security safes, Listers cannot accept liability for any loss or damage by fire or theft relative to the content thereof. The specification, suitability or acceptability of any safe required for a specific purpose, is a matter between the Dealer and the End-user Customer. This is in conjunction with the End-users insurance company where applicable.

Goods returned for credit

 

1. The invoice or delivery note number and date must be quoted when requesting that goods be collected for credit or under complaint. Goods returned under complaint may have to be returned to the Manufacturer for inspection and report. Where immediate replacement or action is required, such goods should be returned direct by the Buyer to the Manufacturer.

Requests for return of goods for any other reason will be considered on an individual basis only. Credit can only be issued by an Executive Director of Listers.

2. Our Transport Department or Carriers are not permitted to accept the return of any goods unless the items are covered by an official returns note issued by Listers. The returns note must not be altered in any way by the Buyer. Listers reserves the right to return unauthorised goods to the Buyer.

3. Listers reserves the right to make a handling charge on all goods returned for credit depending upon relative circumstances.

4. Goods returned direct to Listers should be accompanied by an official returns note issued by Listers.

5. Listers will not be liable for goods returned by any other means unless receipt, acknowledgment or credit note has been issued within four weeks from date of return.

 

Payment of Accounts

 

1. Payment of accounts is due promptly in accordance with the payment date shown on the Statement of Account.

2. Where settlement discounts are deducted from invoice these will not be allowed on payment received after due date.

3. Listers does not allow extended credit, and reserves the right to charge interest at 3% over Barclays Base Rate on overdue accounts including those passed into the hands of a Receiver and Manager.

4. Listers will not be liable or responsible for cash paid otherwise than in the ordinary course of business, and only an official receipt will be recognised for cash payments.

5. In the event of Listers having to reclaim stock or resort to legal processes to obtain settlement of an overdue account, all amounts outstanding at that time shall be considered as payable, notwithstanding the fact that part thereof may not be due in accordance with the normal trading terms of Listers.

 

Title of Goods

 

Listers retain ownership of goods agreed to be sold until all sums from the Buyer have been received in full.

Without prejudice to any of its other rights, Listers may recover or resell goods supplied and may enter upon the Buyer’s premises for the purpose if:

1. any payment due by the Buyer to Listers is overdue in whole or in part.

2. a resolution is passed, or a Court Order made, resolving or ordering that the Buyer be placed into Liquidation, or resolving or ordering that an Administrator be appointed over all or any of its assets.

3. an Administrative Receiver is appointed over all or any of the assets of the Buyer.

4. the Buyer ceases or threatens to cease to carry on trading.

Until such time as the Buyer becomes the owner of the goods supplied it will store them on its premises separately from its own goods or those of any other person and in a manner which makes them readily identifiable as the goods of Listers.

The risk in Goods passes on delivery whether before or after payment.
